From Standard & Poor's Equity ResearchGoldman Sachs reportedly downgrades Apple (AAPL) to neutral from buy.

Davita (DVA) says it's working with U.S. Dept. of Health and Human Services, Office of Inspector General to respond to a subpoena request for documents issued in connection with civil investigation by Dept. of Justice and U.S. Attorney's Office for Northern District of Georgia previously reported in company's Quarterly Report on 10-Q for period ended 9/30/08. In response to subpoena, DVA will produce a wide range of documents relating to the pharmaceutical products Zemplar, Hectorol, Venofer, Ferrlicit, and Epogen.

American Bancorp of New Jersey (ABNJ) agrees to be acquired by Investors Bancorp (ISBC) for $140 million. Terms: ABNJ shareholders will have option to elect to receive either 0.9218 ISBC share or $12.50 in cash for each ABNJ share held, subject to proration to ensure that in the aggregate 70% of the ABNJ shares will be converted into stock, 30% into cash.

Honeywell International (HON) reaffirms 2008 financial guidance.

Jefferies downgrades Infinera (INFN) to hold from buy.

Cypress Semiconductor (CY) says San Francisco Office of the Antitrust Division of the U.S. Department of Justice has notified CY that it has closed its grand jury investigation into possible antitrust violations in the static random access memory (SRAM) industry. No specific allegations were made against Cypress during the investigation, which began in Oct. '06.

Liberty Media - Interactive's (LINTA) board authorizes plan to distribute to holders of Liberty Entertainment Group (LMDIA) tracking stock shares of a subsidiary that will hold a majority of the businesses, assets and liabilities currently attributed to the LMDIA. Deal intended to be tax-free to stockholders.

Owens & Minor (OMI) targets 10%-12% 2009 revenue growth and EPS of $2.55-$2.65.

Huntsman (HUN) says it has terminated its merger agreement with Hexion Specialty Chemicals, Inc. Says it has also reached an agreement with Hexion, Apollo Management, L.P. and certain of its affiliates to settle HUN's claims against Hexion, Apollo and its affiliates arising in connection with HUN's Merger Agreement with Hexion. Says payments to be made to Huntsman under the Settlement Agreement total $1 billion.

FMC Technologies (FTI) announces that it has been awarded a contract from StatoilHydro for the manufacture and supply of additional subsea equipment for its Heidrun North project, located in the Norwegian Sea. Contract, valued at approximately $45 million in revenue, is a call-off from a previously announced frame agreement signed in 2007 with FTI.

Maximus (MMS) resolves arbitration matter with Accenture (ACN), parties also resolve outstanding contract claims by Texas Health and Human Services Commission (HHSC) arising out of contract between Texas Access Alliance (comprised of CAN as prime contractor, MMS as subcontractor) and HHSC. MMS to take pre-tax charge of $37.5 million ($23.2 million after-tax) in legal, settlement expense in the fourth quarter of fiscal year 2008. Previously announced fiscal year 2008 results adjusted: fourth quarter GAAP loss now totals $1.35 per share, fiscal year 2008 GAAP EPS are $0.35.
