J.M. Smucker Agrees to Acquire International Multifoods


Food company J.M. Smucker Co. (SJM) says it will buy International Multifoods (IMC)for about $500 million. (3/8)

Eastman Kodak (EK) agreed to buy Heidelberg Druckmaschinen's 50% interest in NexPress Solutions (the other 50% is owned by Kodak), and will also buy unit Heidelberg Digital, for a maximum of $150 million cash. Kodak sees some restructuring actions following these acquisitions, and says its 2004 GAAP earnings per share guidance of $2.25 to $2.75 will be affected. (3/8)

Regional telephone company BellSouth (BLS) announced plans to sell its Latin American assets to Spain's Telefonica for $5.85 billion. (3/8)

Spinal company Interpore (BONZ) agreed to be acquired by Biomet (BMET) for $14.50 per share, which represents a total value of about $280 million. (3/8)

Extended Stay America (ESA) agrees to be acquired by the Blackstone Group for $3.1 billion. (3/8)

Kos Pharmaceuticals (KOSP) acquired Azmacort, along with the rights to an environmentally safe hydrofluoroalkane (HFA) propellant product under development, for $200 million from Aventis. Kos will pay royalty to Aventis on future sales of the HFA product. (3/8)

O'Neill Acquisition Company LLC, an entity formed by Jeffrey O'Neill, Chief Executive Officer of Golden State Vintners (VINT), plans to take Golden State Vintners private for $6.85 per share. (3/8)

Serena Software (SRNA) agrees to buy Merant PLC ADS (MRNT). Terms: 136.5 pence, 0.05 new. (3/4)
