Henkel Group Agrees to Acquire Dial


Consumer-products maker Dial (DL) agreed to be acquired by The Henkel Group, a German chemicals group, in a cash deal valued at $2.9 billion, or $28.75 per Dial share. Henkel expects to sell a significant portion of its minority investments in Clorox (CLX) or EcoLab (ECL), or a combination of both. (12/15)

Natural-gas pipeline GulfTerra Energy (GTM) will be acquired by Enterprise Product Partners (EPD). Enterprise Product will acquire a 50% limited voting interest in GulfTerra for $425 million cash and pay El Paso (EP) $500 million cash for its GulfTerra stake. GulfTerra holders will get 1.81 Enterprise Product unit per GulfTerra unit. (12/15)

British supermarket group William Morrison Supermarkets PLC made a new ?3 billion ($5.24 billion) offer for Safeway PLC. (The latest offer values the company at 283 pence a share.) Meanwhile, people familiar with the situation say Safeway isn't pursuing a last-ditch offer from Wal-Mart Stores (WMT), according to the Wall Street Journal. (12/15)

Network Associates (NET) agreed to sell its Magic Solutions assets to BMC Software (BMC) for $47 million in cash. (12/15)

Concord EFS (CE) and First Data (FDC) proposed an agreement that will allow the companies to complete a proposed merger. In addition to a Department of Justice settlement, the companies agred to new financial terms, with a value of about $6.9 billion. (12/15)
