Google Plans to Buy 5% Stake in AOL for $1 Billion

Department of Justice clears Whirlpool's deal with Maytag; TD Ameritrade Holding gives upbeat guidance; plus more stocks in the news Wednesday

Google (GOOG) in Form 8-K/A, says it is in a deal whereby Google would, in exchange for $1 billion cash, acquire a 5% stake in AOL through investment in a wholly owned unit of Time Warner (TWX) that will own all of the outstanding equity interests in AOL.


Maytag (MYG) the Department of Justice reportedly approves acquisition of the company by Whirlpool (WHR).

TD Ameritrade Holding (AMTD) expects second quarter EPS to exceed its previous high end of guidance of 28 cents. It cites higher-than-expected trading volume, balances & rates on investable assets. It also reiterates fiscal year 2006 guidance.

Paychex (PAYX) posts 30 cents vs. 24 cents third quarter EPS on a 15% revenue rise. It sees fiscal year 2006 total revenue growth of 14% to 16% and net income growth of 24% to 26%.

General Motors (GM) finalizes 2005 results and files its annual report on Form 10-K. It also includes restated results for 2000-2004, as expected. It revises cash flows at its GMAC unit.

Steel Technologies (STTX) sees $250 million second quarter sales and 21 cents earnings per share.

Red Hat (RHAT) posts 13 cents vs. 6 cents fourth quarter EPS on a 37% revenue rise. It reportedly sees first quarter EPS, before stock options, of 8 cents on sales of $82.5 million to $83.5 million.

Monolithic Power (MPWRE) posts 15 cents vs. 12 cents fourth quarter EPS (non-Generally Accepted Accounting Principles) on a sharp revenue rise. It sees first quarter revenue of $24 million to $25 million.



H.B. Fuller (FUL) posts 52 cents vs. 22 cents first quarter EPS despite a 1.3% revenue decline. It notes 2005 deconsolidation of its Japanese operations. The impact of forex translation reduced revenue growth by 5.2 percentage points. It sees $2.55 to $2.65 fiscal year 2006 EPS.

Accenture (ACN) posts 11 cents vs. 35 cents second quarter EPS as a $450 million provision related to National Health Service (NHS) Contracts offset a 6.5% revenue rise. It says problems at NHS are significant. It sees 45 cents to 47 cents third quarter GAAP EPS.

Northrop Grumman (NOC) the US Department of Energy awards a NOC-led joint venture a five-year, $2.5 billion contract for management and operation of its Nevada Test Site.

Idenix Pharmaceuticals (IDIX) says Novartis exercised its option to license valopicitabine, Idenix's lead compound in development for treatment of hepatitis C. Idenix may receive up to $70 million in license fees and up to $455 million in milestone payments.

Federated Department Stores (FD) plans a 2-for-1 stock split. It raises its quarterly dividend 2%.

Kimco Realty (KIM) is to be added to the S&P 500 after the close of trading on April 3, replacing Jefferson-Pilot, which is being acquired. The move is one among many changes S&P made to its indexes Wednesday. S&P, like BusinessWeek Online, is owned by the McGraw-Hill Companies.

Lear (LEA) Gets commitments for $800 million in loans and suspends its dividend. S&P notes that the company also plans to shift money- losing European interior operations to a joint venture.
