MetLife to Buy Citigroup Unit
SBC higher on AT&T acquisition; Exxon Mobil profits rise; plus more of Monday's stocks in the news

MetLife (MET ) to acquire Citigroup's (C ) Travelers Life & Annuity and substantially all of Citigroup's international insurance businesses, for $11.5 billion.


AT&T (T ) agreed to be acquired by SBC Communications (SBC ) for a total of about $16 billion, or $19.71 per share. Terms of the agreement call for AT&T shareholders to receive 0.77942 SBC share per AT&T share. Also, at the time of the deal's closing, AT&T is to pay a special dividend of $1.30 per share.

Exxon Mobil (XOM ) posted $1.30, vs. $1.01 fourth-quarter earnings per share on a 26% revenue rise.

Pulitzer Inc. (PTZ ) agreed to be acquired by Lee Enterprises (LEE ) in a $1.46 billion deal. Terms of the agreement give $64 cash per Pulitzer share.

Creo (CREO ) agreed to be acquired by Eastman Kodak (EK ) in a $980 million deal. Terms of the agreement give $16.50 cash per Creo share.

The Pentagon announced Lockheed Martin's (LMT ) Team US101 won the U.S. Navy's $1.6 billion contract to build a new fleet of presidential helicopters. Lockheed Martin is the prime contractor and systems integrator.

Mattel (MAT ) posted 68 cents, vs. 49 cents fourth-quarter earnings per share on a 6% rise in worldwide net sales.

Wyeth (WYE ) posted lower-than-expected 63 cents, vs. 57 cents fourth-quarter earnings per share on a 7% net revenue rise. The results excluded items and reserve-related charges for Redux and Pondimin diet drug litigation. It sees 2005 net revenue rise of 5% to 9%.

ConAgra Foods (CAG ) to pay a $14 million settlement of a class action lawsuit brought in 2001 by shareholder plaintiffs, principally related to accounting matters at a former ConAgra unit, United Agri Products.

Lowe's (LOW ) sets a $1 billion stock buyback.

Flowers Foods (FLO ) announced a final settlement of nationwide class action lawsuit. Flowers will donate $1 million in cash and $1.5 million in bread products to charitable organizations. Costs were provided for in the first quarter of 2004.

Merrill reportedly upgrades Delta Air Lines (DAL ) and AirTran (AAI ) to neutral from sell. Merrill reportedly upgrades Continental Airlines (CAL ) and America West (AWA ) to buy from neutral. Wyeth (WYE ) posted a lower-than-expected 63 cents, vs. 57 cents fourth-quarter earnings per share on a 7% net revenue rise. The results exclude items and reserve-related charges for Redux and Pondimin diet drug litigation. It sees 2005 net revenue rise of 5% to 9%. M-Sys Flash Disk (FLSH ) posted 24 cents, vs. 6 cents fourth-quarter earnings per share on a sharp revenue rise. It says due to seasonality after end of year holidays, the company sees 14 cents first-quarter earnings per share on revenue of at least $90 million. It sees 2005 earnings per share at or above $1.00, revenues of at least $450 million. Tyson Foods (TSN ) posted 14 cents, vs. 16 cents first-quarter earnings per share on a slight sales drop. The company expects market conditions to remain challenging during the first half of the fiscal year. It sees $1.05 to $1.30 fiscal 2005 earnings per share. Hilton Hotels (HLT ) posted 18 cents, vs. 11 cents fourth-quarter earnings per share from opeartions on 7% higher total revenue. It sees 2005 earnings per share in the low 70s range and revenue of $4.5 billion to $4.525 billion. The company anticipates a favorable economic environment and continuation of strong hotel demand. Kellogg (K ) posted 45 cents, vs. 46 cents fourth-quarter earnings per share as a higher tax rate offset a 12% revenue rise. The company reaffirms $2.28 to $2.32 2005 earnings per share forecast. Univision Communications (UVN ) and Time Warner's (TWX ) Cable unit, in a multi-year deal to offer all of Univision's television products to Time Warner Cable's customers nationwide. XM Satellite Radio (XMSR ) announces Nissan North America, Inc., has chosen XM to supply satellite-delivered data and telematics services to properly equipped Nissan and Infiniti vehicle navigation systems.
