Phelps Dodge

J. Steven Whisler has been a Chief Executive Officer of Phelps Dodge Corp., since January 1, 2000 and previously served as its President from December 1997 to November 1, 2003. Mr. Whisler served as the Chief Operating Officer of Phelps Dodge Corporation from December 1997 until January 1, 2000 and Senior Vice President from October 1988 to December 1997. He served as the President of Phelps Dodge Mining Company, a division of Phelps Dodge Corp., from 1991 to October 1998. Mr. Whisler has been Chairman of Phelps Dodge Corp. since May 3, 2000 and its Director since 1995. He has been the Director of Burlington Northern Santa Fe Corp. since 1995 and serves as Member of BNSF's Audit Committee and the Compensation and Development Committee. He has been as a Director of America West Holdings Corp. since 2001 and serves as Member of Compensation and Human Resources and Corporate Governance Committees. He also serves as a Director of America West Airlines Inc. Mr. Whisler served as a Director of Southern Peru Copper Corp. from June 1995 until his resignation on January 29, 2004.
