Said third-quarter earnings will be near the low end of analysts' expectations. Is pushing for productivity gains; has delayed or halted some capital spending.

To adjust to falling demand overseas, the company plans layoffs that will result in a third-quarter charge of as much as $500 million before taxes.

With lower demand for consumer products in Asia and rising production costs, Disney is reviewing its consumer-products structure to reduce overhead.
