Microsoft's set-top box would:

-- Combine the functions of a cable modem and digital set-top box in one device.

-- Be cheaper. Gates says he can design a box that consumers would buy for about $300, compared with current cable modems that run $200 to $300 and settop boxes at $450.

-- Use Microsoft software, including the Windows CE operating system designed for handheld computers and other consumer devices.

-- Enable Gates to set all the standards and specifications for the device that will link both PCs and TVs to information providers.
